SRI Group, with a team led by Managing Director Massimo Domini and Senior Associate Andrea Castagnoli assisted the entrepreneur Mr. Vinicio Colombari in the sale of the entire share capital of SITEP Srl to a Club Deal arranged and led by UR-Invest.
Based in Voghiera (Ferrara), SITEP operates in the industry of automated solutions and machinery for laboratories and for industrial players in the bakery, pastry and pizza market segments.
The company designs, produces and commercialises technological refrigeration and programmed leavening systems. The product range mainly includes water dispensers and mixers, water chillers, blast chilling cellsand retarder-proofing cells and cabinets.
The company serves both artisan laboratories and major industrial players boasting a solid positioning thanks to its product performance and reliability, customisation of solutions and after-sales services. In 2023 the company had 3.1 million euros in revenues and an EBITDA of 1.2 million.
The seller – Vinicio Colombari – reinvested a 22.6% stake in the newco and will continue to lead the commercial development of the company.
The buyer – UR-Invest – is an Italian leading company in the arrangement of private equity Club Deals, specialised in investments in Italian SMEs operating in high added value niches. UR-Invest was founded in 2021 by Francesco Della Valentina and Valerio Casari, who will be part of the SITEP Board of Directors, together with the new CEO Fabio Marenco.
The buyer has been assisted by the Pirola, Pennuto Zei & Associati firm, with a team led by the Managing Partner Luca Occhetta and the Partners Giorgio Recine and Federico Salvatore, with regards to the legal, labor law and tax aspects and the negotiation and review of the contracts.
In addition to SRI Group Global, Mr. Colombari was assisted in the deal by the La Scala Studio Legale firm for the legal aspects, with a team led by Maria Giulia Furlanetto and Matteo Rebecchi.
